1. Introduction and Acceptance of Terms
Welcome to Better Launcher ("Better Launcher," "the Platform," "the Service," "we," "us," or "our"), an independently operated, Vermont-based software platform designed to help entrepreneurs develop, evaluate, validate, and refine business opportunities.
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and the individual operating Better Launcher under that business name ("Operator").
By accessing, registering for, or using Better Launcher, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, you must not access or use Better Launcher.
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service. If you use Better Launcher on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
We reserve the right to refuse access to the Service where permitted by applicable law.
2. Description and Purpose of the Service
Better Launcher provides software tools, educational resources, structured workflows, and other features intended to support entrepreneurial activity, including customer discovery, opportunity validation, business planning, venture development, and related activities.
Better Launcher is an informational, educational, and planning tool. It is not an investment adviser, business consultancy, law firm, accounting firm, financial institution, or provider of other regulated professional services.
We do not guarantee that use of the Service will result in a successful business, improved commercial performance, funding, investment, revenue, profitability, or any other particular outcome.
You retain sole responsibility for evaluating information obtained through the Platform and for all decisions, actions, and outcomes associated with your business activities.
Your use of Better Launcher does not create a fiduciary, advisory, partnership, employment, agency, or joint-venture relationship between you and the Operator.
3. Alpha, Beta, and Pre-Release Software
IMPORTANT: BETTER LAUNCHER IS CURRENTLY EXPERIMENTAL SOFTWARE UNDER ACTIVE DEVELOPMENT.
You acknowledge and agree that the Platform may be made available in alpha, beta, early-access, preview, experimental, or other pre-release versions (collectively, "Pre-Release Services").
Pre-Release Services are provided primarily for evaluation, experimentation, product development, and feedback. They may not meet the standards of reliability, stability, security, completeness, or performance ordinarily associated with commercially released software.
3.1 Software Changes
We may, at our sole discretion and without prior notice:
- Add, modify, redesign, or remove features and functionality.
- Change interfaces, workflows, data models, and underlying infrastructure.
- Introduce new technical requirements or usage restrictions.
- Reset, migrate, or restructure databases and testing environments.
- Restrict, suspend, or discontinue particular features or Pre-Release Services.
- Transition the Platform from alpha to beta, general availability, or another release stage.
We do not guarantee that features, functionality, integrations, or data structures available in one version will remain available or compatible with subsequent versions.
We are under no obligation to release a final commercial version of any Pre-Release Service or to continue supporting any particular version.
3.2 Software Defects and Failures
Pre-Release Services may contain defects, errors, vulnerabilities, incomplete functionality, inaccurate calculations, and other problems.
These problems may result in incorrect or incomplete information, unexpected behavior, failed operations, system interruptions, or loss of access.
You expressly acknowledge these risks and agree to use Pre-Release Services at your own risk, subject to applicable law.
3.3 Data Loss and Recovery
INFORMATION ENTERED INTO BETTER LAUNCHER MAY BE LOST, CORRUPTED, OVERWRITTEN, DELETED, OR RENDERED INACCESSIBLE.
Such events may result from software errors, database modifications, system failures, development activities, security incidents, infrastructure changes, or other circumstances.
Better Launcher does not guarantee that data will be preserved, backed up, recoverable, exportable, or transferable between versions.
You are solely responsible for maintaining independent copies of information important to you, including business plans, interview notes, customer research, financial projections, strategic analyses, and other materials.
You should not use Better Launcher as your only repository for important or irreplaceable business information.
To the fullest extent permitted by law, we disclaim liability for data loss, corruption, deletion, or inaccessibility, subject to the limitations and exceptions set forth in these Terms.
3.4 Availability and Support
We do not provide any guaranteed level of uptime, reliability, performance, or technical support.
The Service may be interrupted, restricted, or unavailable at any time for maintenance, development, security, operational, or other reasons.
We are not obligated to provide technical support, resolve specific defects, restore lost information, or maintain compatibility with any particular browser, device, or third-party service.
4. Free Access and Future Paid Services
4.1 Current Free Access
Better Launcher may currently be offered without charge as part of its alpha or beta testing program.
Free access is promotional or developmental in nature and does not create any contractual right to continued free use.
We make no promise that the Service, any particular feature, or any level of access will remain free.
4.2 Introduction of Paid Plans
We expressly reserve the right to introduce fees, subscriptions, paid features, usage-based charges, premium service levels, or other monetization arrangements at any time.
We may also:
- Limit features previously available without charge.
- Introduce usage allowances, account restrictions, or feature tiers.
- Require a paid subscription for continued use of certain features.
- Discontinue free accounts or free access tiers.
- Introduce different pricing and eligibility requirements for different plans.
We will disclose applicable fees and material payment terms before requiring payment.
An existing free account will not be charged automatically solely because Better Launcher introduces a paid model. Users must affirmatively authorize any new paid arrangement before charges begin.
If you do not elect to purchase a paid plan, your access to some or all of the Service may be limited or discontinued.
4.3 Future Subscriptions
If paid subscriptions are introduced, their pricing, billing intervals, renewal terms, cancellation procedures, and any applicable refund conditions will be disclosed before purchase.
Any recurring charges will require the affirmative consent and disclosures required by applicable law. Where subscriptions automatically renew, users will be provided with legally required notices and cancellation mechanisms.
Unless otherwise required by law or stated in the applicable paid-plan terms, fees for services already provided will be nonrefundable.
We may revise prospective pricing and subscription offerings, subject to applicable law, required notices, and the terms of any existing paid agreement.
5. Accounts and Account Security
You agree to provide accurate registration information and maintain the security of your account.
You are responsible for activities occurring through your account, except to the extent caused by our own misconduct or other circumstances for which the law imposes responsibility on us.
You must promptly notify us if you become aware of unauthorized access or suspected misuse of your account.
We may implement or modify authentication, access-control, verification, and security procedures as reasonably necessary.
We reserve the right to suspend or restrict accounts where we reasonably believe there is a violation of these Terms, an actual or potential security threat, fraudulent activity, unlawful conduct, or a material risk to the Platform or its users.
6. User Content and Ownership
6.1 Ownership of User Content
"User Content" includes information, business ideas, plans, research, interview materials, descriptions, analyses, financial information, documents, and other materials submitted, uploaded, entered, or created through the Service.
You retain ownership of your original User Content and any intellectual property rights you possess in that content.
Your use of Better Launcher does not transfer ownership of your business concepts, inventions, business plans, original research, or other proprietary materials to the Operator.
6.2 License to Operate and Improve the Service
By submitting User Content, you grant Better Launcher and the Operator a worldwide, nonexclusive, royalty-free license to host, store, reproduce, process, transform, display, transmit, and otherwise use that content as reasonably necessary to:
- Operate, provide, maintain, and secure the Service.
- Deliver features and functionality requested by users.
- Troubleshoot defects and investigate technical problems.
- Develop, test, evaluate, and improve the Platform.
- Perform permitted research and analysis under Section 8.
- Comply with applicable legal obligations.
This license includes the right to use service providers and contractors acting on our behalf, subject to appropriate contractual protections.
The license for identifiable User Content continues only for as long as reasonably necessary for the permitted purposes, subject to applicable law, the Privacy Policy, and the provisions governing deletion and retention.
6.3 Responsibility for Submitted Content
You represent that you possess the rights, permissions, and lawful authority necessary to submit and use your User Content through the Service.
You agree not to submit content that infringes third-party intellectual property rights, violates confidentiality obligations, or unlawfully discloses another person's information.
We do not independently verify ownership, accuracy, legality, or completeness of User Content.
We reserve the right to remove, restrict, or disable access to content where reasonably necessary to enforce these Terms, protect the Service, address legal claims, or comply with applicable law.
7. Confidentiality and Sensitive Information
Better Launcher may be used to develop commercially sensitive ideas, strategies, and business plans.
Although we intend to maintain reasonable technical and organizational safeguards appropriate to the information processed, we do not guarantee absolute confidentiality, security, or protection against unauthorized access.
You should exercise particular caution before entering trade secrets, unpublished inventions, confidential third-party materials, or other commercially sensitive information.
You must not submit Social Security numbers, payment card details, medical records, government identification numbers, authentication secrets, or similarly sensitive personal information unless a feature expressly authorizes the collection of that category of information and appropriate safeguards are provided.
You are responsible for obtaining any required notices, authorizations, or consents before submitting information about customers, interview participants, employees, or other third parties.
Nothing in these Terms authorizes Better Launcher to publicly disclose your identifiable confidential business information outside the permissions and safeguards described herein and in the Privacy Policy.
8. Academic Research, Data Analysis, and Publication
8.1 Research Purpose
Better Launcher may be used to generate knowledge concerning entrepreneurial processes, practices, decisions, behaviors, and outcomes.
By using the Service, you acknowledge that data generated through your use of the Platform may be analyzed for academic research, scholarly publication, educational purposes, and related analytical activities, subject to applicable law, the Privacy Policy, and any required research ethics approvals or additional consent.
8.2 Categories of Research Data
Research may draw upon:
- Platform usage patterns and interaction histories.
- Timestamps, activity sequences, and feature engagement.
- Business ideas, opportunity descriptions, and business model development.
- Customer discovery and opportunity validation activities.
- Changes, revisions, and progression of submitted materials.
- Entrepreneurial decision-making and venture development processes.
- Other information voluntarily generated through use of the Service.
Research may employ quantitative, qualitative, longitudinal, comparative, computational, or other appropriate analytical methods.
8.3 De-identification and Privacy Protection
We may create de-identified datasets for research and scholarly purposes.
De-identification may involve removing direct identifiers, generalizing or suppressing potentially identifying information, modifying or paraphrasing distinctive passages, and applying other reasonable safeguards against re-identification.
Records may initially be linked over time using internal or pseudonymous identifiers to support longitudinal analysis. Such records will not be represented as anonymous when individuals can still reasonably be identified.
Publications and publicly shared research materials will not intentionally identify individual users or disclose recognizable confidential business information without appropriate authorization or another lawful basis.
We will take reasonable steps to avoid publishing information that could identify a user or venture indirectly through distinctive facts, quotations, combinations of attributes, or commercially sensitive details.
8.4 Research and Publication Rights
Subject to the safeguards and requirements above, you grant Better Launcher and the Operator a nonexclusive, worldwide, royalty-free right to create and use de-identified derivatives of User Content and platform activity for academic research, scholarly analysis, teaching, and publication.
Permitted outputs may include journal articles, books, conference presentations, scholarly working papers, educational materials, research reports, statistical findings, theoretical insights, and related publications.
Appropriately de-identified research datasets and derivatives may also be shared with academic collaborators, research assistants, and research institutions where permitted by law and applicable research requirements, subject to appropriate security, confidentiality, and restrictions on re-identification.
These rights do not transfer ownership of your original business ideas, inventions, or other intellectual property to Better Launcher.
8.5 Continued Use After Account Closure
To the extent permitted by applicable law, research consent terms, and the Privacy Policy, Better Launcher may retain and continue using datasets that have been lawfully and effectively de-identified before or after account closure.
Where data remains identifiable or reasonably re-identifiable, continued retention and processing will remain subject to applicable privacy and research obligations.
Published research findings and lawfully de-identified analytical outputs may be retained and used after a user's account has been closed.
Irreversibly de-identified information may no longer be capable of being associated with or removed for an individual user.
8.6 Research Independence and Ethical Requirements
Research conducted using Better Launcher data may involve the Operator, academic collaborators, or qualified researchers at educational and research institutions.
Nothing in these Terms represents that any particular study has received institutional review board approval or has been determined to be exempt from review.
Where research requires additional informed consent, institutional approval, or other ethical or legal authorization, those requirements must be satisfied independently of these Terms.
8.7 No Compensation or Publication Approval
Unless separately agreed in writing or required by law or applicable research consent, users are not entitled to compensation, royalties, authorship, advance review, or editorial approval in connection with research findings derived from lawfully used, de-identified data.
This provision does not limit rights expressly provided under a separate research consent agreement.
9. Artificial Intelligence and Automated Features
Better Launcher may introduce features that use artificial intelligence, machine learning, or other automated technologies.
Such features may generate recommendations, analyses, summaries, questions, projections, or other materials.
Automated outputs may be inaccurate, incomplete, misleading, outdated, biased, or unsuitable for a particular purpose.
You are responsible for independently evaluating and verifying such outputs before relying on them.
We do not warrant the accuracy, originality, legality, completeness, or commercial usefulness of AI-generated outputs.
Where permitted by applicable law and subject to third-party rights, you may use outputs generated for you by the Service. We do not guarantee that outputs are unique, protectable by intellectual property law, or free of similarities to materials generated for other users.
Any transfer of User Content to third-party AI providers, or use of such content for AI model training, will be subject to the Privacy Policy, applicable disclosures, and any required authorization.
10. Intellectual Property of Better Launcher
The Better Launcher software, source code, architecture, interface designs, branding, graphics, documentation, workflows, databases, proprietary methods, and other components of the Service, excluding User Content and third-party materials, are owned by or licensed to the Operator.
Subject to these Terms, you receive a limited, revocable, nonexclusive, nontransferable right to access and use the Service for its intended purposes.
You may not, except where expressly authorized or permitted by applicable law:
- Copy, reproduce, redistribute, or commercially exploit the Platform or substantial portions of it.
- Reverse engineer, decompile, or attempt to derive nonpublic source code.
- Circumvent security measures, access restrictions, or usage limits.
- Scrape, harvest, or systematically extract data or content through unauthorized automated means.
- Attempt to gain unauthorized access to accounts, databases, or infrastructure.
- Use the Service to develop unauthorized copies of its protected software or proprietary components.
- Remove proprietary notices or misrepresent ownership of Better Launcher materials.
Nothing in these Terms transfers ownership of Better Launcher intellectual property to users.
11. Feedback and Suggestions
You may voluntarily provide feedback, bug reports, suggestions, feature requests, design ideas, or other recommendations concerning the Service ("Feedback").
By submitting Feedback, you grant Better Launcher and the Operator a perpetual, irrevocable, worldwide, nonexclusive, transferable, sublicensable, royalty-free license to use, reproduce, modify, implement, commercialize, and otherwise exploit that Feedback for any lawful purpose without further notice or compensation.
This provision applies to feedback about the Service itself and does not transfer ownership of your underlying business ideas, research, or other substantive User Content.
We have no obligation to implement, acknowledge, or compensate users for Feedback.
12. Acceptable Use
You agree not to use Better Launcher for unlawful, fraudulent, abusive, harmful, or unauthorized purposes.
Prohibited activities include submitting malicious code, interfering with system operations, accessing other users' accounts without authorization, infringing third-party rights, harassing others, and using the Service to facilitate unlawful conduct.
We may investigate suspected violations and take proportionate action, including restricting content, suspending access, terminating accounts, preserving relevant records where lawful, or referring matters to appropriate authorities.
We may establish and revise reasonable usage limits and technical restrictions to protect the security, integrity, performance, and availability of the Platform.
13. Third-Party Services and Integrations
Better Launcher may rely on third-party providers for hosting, authentication, storage, analytics, payments, artificial intelligence, communications, and other functions.
Third-party services may be governed by their own terms and privacy policies.
We do not control the independent operation, availability, security, or policies of third-party services.
To the fullest extent permitted by law, we disclaim responsibility for interruptions, defects, or other losses caused by third-party services outside our reasonable control.
We may modify or discontinue integrations without prior notice.
14. Privacy and Data Protection
Our collection, use, retention, sharing, and protection of personal information are governed by our Privacy Policy and applicable law.
The Privacy Policy is incorporated into these Terms by reference to the extent permitted by law.
We may process information as reasonably necessary to provide, secure, develop, troubleshoot, and improve the Service and for the additional purposes properly disclosed in the Privacy Policy.
We do not promise that all information can be recovered following a system failure, security incident, or deletion.
Nothing in these Terms limits rights or obligations that cannot lawfully be waived, including applicable data protection requirements and legally mandated security incident notification obligations.
15. Account Termination and Data Deletion
15.1 Termination by Users
You may stop using Better Launcher at any time.
You may request account closure or deletion of applicable personal information by contacting support@betterlauncher.com, subject to any additional account-management methods made available through the Service.
15.2 Termination by Better Launcher
We may suspend, restrict, or terminate your access where reasonably necessary for security, legal compliance, suspected misuse, breach of these Terms, or operation of the Service.
We may also discontinue the Service, a release program, or a free access tier for business or technical reasons, subject to applicable law and contractual obligations.
Where reasonably practicable, we may provide advance notice of planned discontinuation. However, we do not guarantee continued access or data export.
15.3 Consequences of Termination
Upon termination, your right to access and use the Service ceases.
Account closure may result in deletion or loss of access to User Content and related records.
We may retain information where required or permitted by law, reasonably necessary for security or legal purposes, or authorized under the research provisions and Privacy Policy.
Termination does not affect accrued rights, lawful uses of previously de-identified research data, existing research publications, or provisions expressly or inherently intended to survive termination.
16. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BETTER LAUNCHER IS PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS."
We expressly disclaim all warranties, representations, and conditions, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, noninfringement, accuracy, completeness, reliability, availability, and uninterrupted operation.
We do not warrant that:
- The Service will meet your requirements or expectations.
- The Service will operate without interruption or error.
- User Content will be preserved or recoverable.
- Results, calculations, recommendations, or analyses will be accurate.
- Defects or vulnerabilities will be corrected.
- The Service will remain free or commercially available.
- The Service will produce successful entrepreneurial or financial outcomes.
Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, the exclusions apply only to the extent legally permitted.
17. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE OPERATOR AND PERSONS ACTING ON THE OPERATOR'S BEHALF SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS.
This includes, without limitation, damages arising from:
- Lost or corrupted data.
- Lost profits, revenue, or anticipated savings.
- Lost business opportunities or potential investments.
- Business interruption or inability to access the Service.
- Inaccurate calculations, analyses, or recommendations.
- Lost goodwill or reputational harm.
- Defects, outages, or discontinuation of functionality.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF THE OPERATOR AND PERSONS ACTING ON THE OPERATOR'S BEHALF FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) US $100 OR (B) THE TOTAL AMOUNT YOU PAID DIRECTLY FOR THE SERVICE DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
These limitations apply regardless of the legal theory asserted, including contract, tort, negligence, or otherwise, and even if a potential loss was foreseeable or the possibility of such damages was disclosed.
The limitations constitute an essential allocation of risk between the parties.
Nothing in these Terms excludes or limits liability for fraud, willful misconduct, or any other liability that cannot lawfully be excluded or limited.
18. Indemnification
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless the Operator and persons acting on the Operator's behalf from third-party claims, liabilities, damages, judgments, reasonable legal fees, and expenses arising from:
- Your unlawful use of the Service.
- Your material violation of these Terms.
- Your infringement or misappropriation of third-party intellectual property or other rights.
- Your submission or disclosure of information without required legal authority or consent.
- Fraudulent, intentionally wrongful, or negligent conduct associated with your use of the Service.
This obligation does not apply to the extent a claim results from the Operator's own wrongful conduct or circumstances for which indemnification is prohibited by law.
We reserve the right to participate in the defense of any claim subject to indemnification, using counsel of our choice at our own expense. You may not enter into a settlement imposing an obligation or admission on the Operator without prior written consent, which will not be unreasonably withheld.
19. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT PROVIDES FOR INDIVIDUAL ARBITRATION OF CERTAIN DISPUTES AND LIMITS PARTICIPATION IN CLASS OR REPRESENTATIVE PROCEEDINGS, TO THE EXTENT PERMITTED BY LAW.
19.1 Informal Resolution
Before commencing arbitration or litigation, you and the Operator agree to attempt to resolve disputes informally.
A party initiating a dispute must provide written notice describing the nature of the claim, relevant facts, and requested relief.
Notices to Better Launcher may be sent to support@betterlauncher.com. We may send notices to the email address associated with your account.
The parties will have 30 days following receipt of a sufficiently detailed notice to attempt resolution before initiating formal proceedings, except where immediate legal relief is necessary or a statutory deadline would otherwise expire.
19.2 Binding Individual Arbitration
Except for claims eligible for small claims court, claims for injunctive relief as specified below, or disputes that cannot legally be subjected to arbitration, disputes arising from or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA").
Consumer disputes will be administered under the AAA Consumer Arbitration Rules and applicable Consumer Due Process Protocol. Disputes not qualifying as consumer disputes will be administered under the applicable AAA rules.
The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement to the extent applicable.
Arbitration may be conducted remotely or through written submissions where permitted by the applicable rules. Any in-person hearing will be held at a reasonably accessible location consistent with the governing rules and applicable law.
Arbitration fees and costs will be allocated under the applicable AAA rules and fee schedule, including any protections or limitations available to consumers.
If the AAA is unavailable or declines administration, the parties will attempt to agree on another neutral provider. If they cannot agree, a court with appropriate jurisdiction may appoint a neutral arbitrator as permitted by law.
19.3 Class-Action Waiver
To the fullest extent permitted by law, you and the Operator agree that claims will be brought solely in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.
An arbitrator may award relief only to the individual party seeking relief, except where applicable law requires otherwise.
If a court determines that the class-action waiver is unenforceable with respect to a particular claim or form of relief, that claim or relief will proceed in an appropriate court to the extent required by law.
19.4 Exceptions
Either party may pursue an eligible individual claim in small claims court.
Either party may seek temporary or preliminary injunctive relief from a court of competent jurisdiction when necessary to protect rights or prevent irreparable harm, without waiving an otherwise applicable obligation to arbitrate the underlying dispute.
Nothing in this section prevents a user from filing a complaint with an applicable government agency or exercising rights that cannot lawfully be restricted.
19.5 Right to Opt Out
You may opt out of the arbitration agreement and class-action waiver by emailing support@betterlauncher.com within 30 days after your first acceptance of these Terms.
Your notice must identify the account email address and clearly state that you wish to opt out of the arbitration agreement.
Opting out of arbitration will not affect the remaining provisions of these Terms.
19.6 Time Limit for Claims
To the extent permitted by law, any claim arising from or relating to the Service must be initiated within one year after the claim accrues.
This limitation does not apply where a longer period is required by applicable law or where contractual shortening of the applicable limitation period is prohibited.
20. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Vermont, United States, without regard to conflict-of-law principles, except where applicable law requires otherwise.
For disputes not subject to arbitration, the parties consent to the jurisdiction of the competent state and federal courts serving Burlington, Vermont, subject to applicable consumer protections and mandatory jurisdictional rules.
Nothing in this provision deprives users of mandatory legal protections available under applicable law.
21. Changes to These Terms
We may revise these Terms to reflect modifications to the Service, new features, commercial arrangements, research activities, changes in law, or other operational requirements.
Revised Terms will be made available through the Service with an updated effective date.
For material changes affecting users' rights or obligations, we will provide reasonable notice through the Platform, email, or another appropriate mechanism, and obtain renewed acceptance where legally required.
Changes will not retroactively eliminate accrued legal claims or alter completed transactions where doing so is prohibited by law.
If you do not agree to revised Terms, you must discontinue use of the Service.
22. Assignment and Business Transfers
You may not assign or transfer your rights or obligations under these Terms without our prior written consent, except where prohibited by law.
The Operator may assign or transfer these Terms and associated rights and obligations in connection with a business reorganization, incorporation, sale, merger, acquisition, transfer of substantially all business assets, or succession of the Service.
Any transfer of personal information will remain subject to applicable law and the relevant privacy commitments.
These Terms will bind and benefit permitted successors and assigns.
23. Force Majeure
We will not be responsible for delays, interruptions, failures, or inability to perform obligations arising from events beyond our reasonable control, including natural disasters, widespread infrastructure failures, internet or cloud-service outages, cyberattacks, governmental actions, labor disruptions, or other extraordinary events.
This provision does not excuse obligations that cannot lawfully be waived or limit duties to take reasonable measures required by applicable law.
24. General Provisions
Entire Agreement. These Terms, together with the Privacy Policy and any supplemental terms expressly accepted by you, constitute the agreement governing your use of the Service.
Severability. If a provision is found invalid or unenforceable, the remaining provisions will remain effective to the fullest extent permitted by law, subject to the specific rules concerning arbitration and class-action waivers.
No Waiver. Failure to enforce a provision does not waive the right to enforce it subsequently.
No Third-Party Beneficiaries. Except as expressly provided, these Terms do not create rights enforceable by third parties.
Electronic Communications. You consent to receive electronic communications concerning your account, the Service, and these Terms where permitted by law. Such communications may satisfy applicable legal writing requirements.
Headings. Section headings are provided for convenience and do not affect interpretation.
Survival. Provisions concerning intellectual property, permitted research use, feedback, disclaimers, liability, indemnification, dispute resolution, and other terms intended by their nature to survive will remain effective following termination, subject to applicable law.
